Byaccessing and using this Site, you (“User”) agree to the terms and conditions(“Terms”) set forth below. The Servicepermits authorized Users to receive online access to individual ABA RoutingNumbers (the unique nine digit number used to identify the paying financialinstitution in a payment transaction) and related descriptive data(collectively “ABA RTN Data”) for the limited purposes set forth in these Terms.

These Terms do not alter in any way the terms of any otheragreements you may have with ABA for products, services or otherwise.

You will be asked toeither accept or decline the Terms by clicking “I Agree” or “I Decline.” TheService may not be accessed unless you agree to the Terms. By clicking “I Agree” you represent that:

License

TheABA and its licensors are the owners of all right, title and interest in and toABA Routing Number data, including the nine digit ABA Routing Number. The Official Routing Number Registrar,LexisNexis Risk Solutions, offers additional data products and delivery options for ABA RoutingNumbers and other forms of licenses for the use of ABA Routing Numbers andrelated data beyond the uses permitted by this agreement. For further information contact LexisNexis Risk Solutions.

TheService, including the ABA RTN data, is protected by copyright laws andinternational copyright treaties, as well as other intellectual property lawsand treaties. The Service is licensed,not sold.

Subjectto the Terms, ABA hereby grants User a non-exclusive, non-transferable andlimited license to access and use the Service.

Restrictions on Dissemination and Use

<![if !supportLists]>1.<![endif]>TheService is solely and exclusively for “Internal Use.” Internal Use means access and use of theService and ABA RTN Data by a User solely in connection with a paymenttransaction and to enable the User to furnish the ABA RTN Data necessary toexecute a payment transaction.

<![if !supportLists]>2.<![endif]>Usershall not sell, transfer, assign, publish, distribute, disseminate, orotherwise make available, or reproduce any ABA RTN Data or any derivation,revision, combination or portion of the data to any other person, organizationaffiliate or subsidiary. User is alsoprohibited from using the Service or the ABA RTN Data or any portion thereof toact in the capacity of a commercial service bureau to provide payment serviceson behalf of others.

<![if !supportLists]>3.<![endif]>Useris not entitled to incorporate or store any ABA RTN Data in its own internaldatabases or storage systems. A Userwishing to take such actions must contact the Official Registrar, LexisNexis Risk Solutions, fordetails about securing the appropriate license for such use and paying theappropriate fees.

Copyrights and Other Proprietary Rights

The ABA RTN Data is protected by copyright and other law and constitutesvaluable intellectual property of ABA and its licensors. No proprietary rights in or to the Service orABA RTN Data are being transferred to User.User agrees that misappropriation or misuse of the ABA RTN Data willcause serious and irreparable damage to ABA and to its licensors and that, insuch event, money damages will not constitute sufficient compensation to ABA orits licensors; consequently, User agrees that in the event of anymisappropriation or misuse, ABA shall have the right to obtain injunctiverelief.

Indemnification

You agree toindemnify, defend and hold us and any of our subsidiaries, affiliates,officers, directors, employees, independent contractors, agents, attorneys,suppliers and licensors and each of their respective successors and assigns(collectively, “Indemnified Person(s)”) harmless from and against any and allthird party claims, liability, loss, and expense (including damage awards,settlement amounts, and reasonable legal fees), brought against any IndemnifiedPerson(s), arising out of, related to or which may arise from: (i) your accessto and use or inability to use, the Service or (ii) your breach of any of theseTerms.

Disclaimer of Warranties and Limitation ofLiabilities

HOWEVER, BECAUSE OF THEPOSSIBILITY OF HUMAN OR MECHANICAL ERROR BY THE REGISTRAR’S SOURCES, ABA OROTHERS, NEITHER ABA NOR ITS LICENSORS GUARANTEES THE ACCURACY, ADEQUACY ORCOMPLETENESS OF ANY DATA IN THE SERVICE AND IS NOT RESPONSIBLE FOR ANY ERRORSOR OMISSIONS OR FOR THE RESULTS OBTAINED FROM USE OF SUCH DATA. ABA MAKES NO EXPRESS OR IMPLIED WARRANTIES,INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR APARTICULAR PURPOSE OR USE. THE LIABILITY OF ABA AND ITS LICENSORS ANDTHEIR RESPECTIVE AFFILIATES IN ANY AND ALL CATEGORIES, WHETHER ARISING FROMCONTRACT, TORT, WARRANTY, NEGLIGENCE OR OTHERWISE SHALL, IN THE AGGREGATE, NOTEXCEED THE TOTAL AMOUNT OF FEES (IF ANY) PAID BY THE USER FOR ACCESS TO THESERVICE DURING THE MONTH IN WHICH SUCH CAUSE OF ACTION IS ALLEGED TO HAVEARISEN.

Term and Termination; Remedies for Breach

<![if !supportLists]>2.<![endif]>Inthe event of the User’s breach of the Terms, the ABA shall be entitled topreliminary and permanent injunctive relief to enforce the agreement.

Prohibited Conduct

You must not do,or attempt to do, any of the following, as reasonably determined by us, subjectto applicable law:
